Lippes Mathias Adds Steven S. Grieco as Partner to its Corporate and Banking & Financial Transactions Practice Teams

Lippes Mathias is pleased to share that Steven S. Grieco, a partner with deep experience in corporate finance and banking, mergers and acquisitions, capital markets and securities, corporate governance, and general corporate matters, has joined the firm as a member of its corporate and banking & financial transactions practice teams. Prior to joining Lippes Mathias, Grieco was a partner at Shumaker, Loop & Kendrick, LLP in Tampa, Florida, after several years with Clifford Chance LLP in New York City and London and Cahill Gordon & Reindel LLP in London.
Grieco, admitted in New York and Florida, focuses his practice in both jurisdictions primarily on representing commercial lenders and corporate borrowers in various corporate finance transactions, and corporate clients in mergers and acquisitions, asset purchases and sales, other corporate transactions, and corporate governance matters. His clients span various sectors, including financial institutions and services, physician groups and hospital systems, telecom-related companies, manufacturers, and real estate companies.
Grieco’s extensive experience includes managing all aspects of debt capital market and banking transactions, and he is adept at drafting and negotiating contracts such as purchase agreements, , intercreditor agreements, bilateral and syndicated credit agreements, bridge loan agreements, security agreements, mortgages, and other collateral documents. He also handles legal opinions and other closing documents for debt securities offerings and other leveraged finance transactions. Additionally, Grieco has substantial experience managing comprehensive due diligence processes and drafting disclosure documents for registered and unregistered securities transactions.

As lead counsel on several multijurisdictional leveraged finance transactions, Grieco has coordinated local counsel and advised institutional financial investors on reviewing and analyzing syndicated loan documents. His practice also encompasses complex structured finance transactions, swaps, and other derivatives transactions, as well as representing dealer managers and issuers in debt and equity tender offers. In mergers and acquisitions, Grieco advises clients on business combinations, group reorganizations, and related documents, including commitment letters for bank clients providing financial support for leveraged buyout transactions.
Grieco earned his J.D., summa cum laude, and M.B.A., with distinction, from the University at Buffalo School of Law and School of Management, respectively, in 1998. He holds a B.S. from Cornell University, obtained in 1987. Before attending law school, Steve worked for six years as a commodity trader and for two years in the financial sector in New York. His professional associations include the New York State Bar Association and the Florida Bar Association. Grieco is also active in the community, having participated in Leadership Tampa (Class of 2013) and served in various roles for the Florida High School Hockey Association, Inc. and the Lightning High School Hockey League. He is also a part of the Cornell Alumni Admissions Ambassador Network. Grieco is conversational in Spanish and Italian.
