Stephen H. Cohen

Stephen, a partner in the firm’s Health Law Practice Team, concentrates his practice primarily on complex healthcare transactions. He is a nationally recognized innovator in the structuring of large horizontally and vertically integrated group practices throughout the United States. 

Stephen provides general and focused representation to a broad range of healthcare clients, such as group medical practices, joint ventures between practices and hospitals as well as related systems, POs, PHOs, IPAs, MSOs, and clinically integrated delivery systems. Stephen has significant experience with a wide variety of issues facing healthcare providers, including strategic planning for healthcare providers and entities; civil and criminal healthcare fraud and abuse investigation, defense, and prevention; Medicare compliance; mergers and acquisitions; business operations and transactional matters; entity formation and employment issues; structuring transactions to comply with the anti-kickback and Stark fraud and abuse laws as well as regulatory requirements. 

In addition, Stephen represents closely held business entities and their owners. He counsels clients regarding their business operations and transactional matters, including entity formation, employment issues, joint ventures, acquisitions, mergers, sales, and succession planning. 

Stephen represents professional and business entities of all sizes, from those owned and operated by a single individual to multi-faceted professional entities with 700+ owners and large privately held business corporations with multiple locations. 

Stephen lectures frequently on the structuring of large group medical practices. 

Prior to joining Lippes Mathias, Stephen was a founding member of a Syracuse-based firm, CCB Law, concentrating on health law, business law, and ERISA and employee benefits.
